Mainland Company Formation in 2025.

Determine the Business Structure
  • - Select the type of company you want to establish on the mainland. The most common option for foreign investors is a Limited Liability Company (LLC), which requires at least two shareholders. Other options include a Sole Proprietorship, General Partnership, or Joint Stock Company, depending on your business needs.
  • Decide on ownership structure. Since 2020, under the Foreign Capital Investment Law (FCIL) RD 50/2019, 100% foreign ownership is allowed for most activities, though some sectors may still require an Omani partner with a minimum 30% stake. Confirm your specific activity with MOCIIP, as exceptions exist (e.g., transportation, tailoring).
  • Pick a unique name that reflects your business and complies with Oman’s naming rules (e.g., avoid offensive or restricted terms).
  • Submit the name for approval via the MOCIIP’s online portal (Invest Easy). This step is quick, typically completed within a day if the name is available.

Prepare Required Documents
  • Gather the following:
  • Identification documents (passports or IDs) of all shareholders and authorized signatories.
  • A draft of the company’s Memorandum of Association (MOA) and Articles of Association (AOA), outlining the company’s purpose, structure, and shareholder details.
  • Proof of initial capital deposit (bank certificate), if applicable. While the FCIL removed a strict minimum capital requirement, LLCs with foreign ownership historically needed OMR 150,000 (~$390,000). Check current requirements with MOCIIP, as this may vary by case.
  • If an Omani partner is required, include their details and agreement.
Capital Account and Deposit Funds
  • Open a bank account in Oman to deposit the initial capital. Submit the bank certificate to MOCIIP as proof.
  • After registration, this account can be converted into a current account for business transactions.
Submit Application to MOCII
  • File your company registration application through the Invest Easy portal or in person at MOCIIP. Include all prepared documents.
  • Pay the registration fee (currently around OMR 300, though this may vary).
  • Upon approval, you’ll receive a Commercial Registration (CR) number
Register with the Oman OCCI
  • Enroll your company with OCCI to ensure compliance with commercial regulations. Submit:
  •    CR certificate.
  •    MOA and AOA.
  •    Municipality approval (if applicable).
  • This step is mandatory for mainland companies and facilitates networking and legal recognition.
Additional Licenses and Approvals
  • Depending on your business activity, secure specific licenses (e.g., industrial, environmental, health-related) from relevant authorities like the Ministry of Environment, Ministry of Health, or others.
  • For import/export businesses, register with the Directorate General of Customs.
Register with Tax Authorities
  • Obtain a Tax Identification Number (TIN) from the Tax Authority under the Ministry of Finance.
  • Register for Value Added Tax (VAT), set at 5% in Oman since 2019, if your business qualifies.
Register with the Ministry of Manpower
  • Enroll your company with the Ministry of Manpower for labor compliance and to facilitate employee visa applications.
  •  Comply with Omanization rules, which mandate hiring a percentage of Omani nationals, depending on your sector.
Company Seal
  • Design an official company seal with your company name and logo, required for legal documents.
Open Bank Account
  • Finalize opening a corporate bank account if not already done during the capital deposit phase.
Apply for Visas (if needed)
  • Request investor or employee visas through the Royal Oman Police (ROP) portal, linking them to your company’s CR.
  • This step is essential if you or your staff are relocating to Oman.
Timeline and Notes
  • The process typically takes 3-10 working days if all documents are in order, though additional approvals may extend this.
  • Mainland companies can operate freely within Oman and internationally, unlike free zone entities, but may face stricter Omanization and regulatory requirements.
